This Vendor Agreement defines the terms and conditions governing the relationship between ShopAurora and third-party vendors who list and sell products on the platform.
1. Purpose
The agreement establishes legal obligations, operational expectations, and risk controls to ensure a safe, trustworthy, and compliant marketplace.
2. Scope
This agreement applies to:
- All vendors registered on ShopAurora
- Individuals and businesses selling products through the platform
- All transactions facilitated via ShopAurora
By registering as a vendor, the user agrees to be bound by this agreement.
3. Definitions
- Platform: ShopAurora marketplace
- Vendor: A third-party seller offering goods or services
- Customer: Any buyer purchasing from a vendor
- Order: A confirmed transaction between customer and vendor
- Commission: Fee charged by ShopAurora per transaction
4. Nature of Relationship
ShopAurora operates as a technology platform that connects vendors with customers.
ShopAurora:
- Does not own inventory
- Is not the seller of record
- Does not take ownership of goods
- Facilitates payments through third-party providers such as Paystack
Vendors are solely responsible for the products they list and sell.
5. Vendor Eligibility
To register, vendors must:
- Be at least 18 years old
- Provide accurate and complete information
- Successfully complete identity verification (KYC)
- Have a valid bank or mobile money account
ShopAurora reserves the right to approve or reject vendor applications.
6. Vendor Obligations
Vendors agree to:
- Provide accurate product descriptions
- Deliver products as advertised
- Fulfill orders within agreed timelines
- Maintain professional conduct with customers
- Comply with all applicable laws and regulations
Vendors must not:
- Sell prohibited or illegal items
- List counterfeit or misleading products
- Engage in fraudulent activities
7. Product Listings
Vendors are responsible for:
- Product accuracy (price, description, images)
- Inventory management
- Ensuring products comply with applicable laws
ShopAurora may remove listings that violate platform policies.
8. Orders and Fulfillment
Vendors must:
- Confirm orders promptly
- Deliver within stated timelines
- Provide updates where necessary
Failure to fulfill orders may result in penalties or account restrictions.
9. Pricing and Payments
- Vendors set their own prices
- ShopAurora charges a commission per transaction
- Payments are processed via third-party providers
- Payouts are made to vendors after successful transactions
ShopAurora may delay payouts where fraud or disputes are suspected.
10. Refunds and Disputes
ShopAurora may mediate disputes between vendors and customers.
Vendors agree to:
- Cooperate in dispute resolution
- Honor valid refund claims
- Follow the platform’s Refund & Dispute Policy
11. Fraud and Compliance
Vendors must comply with:
- AML & Fraud Prevention Policy
- Vendor Verification (KYC) Policy
- Acceptable Use Policy
Suspicious or fraudulent activity may result in:
- Account suspension
- Withholding of payouts
- Permanent termination
12. Intellectual Property
Vendors retain ownership of their content but grant ShopAurora a license to:
- Display product listings
- Use content for marketing and platform operations
Vendors must not upload content that infringes on third-party rights.
13. Limitation of Liability
ShopAurora is not liable for:
- Product quality issues
- Vendor misconduct
- Delivery failures
Liability is limited to the extent permitted by applicable law.
14. Termination
ShopAurora may suspend or terminate vendor accounts where:
- Policies are violated
- Fraudulent activity is detected
- Legal risks arise
Vendors may also terminate their accounts subject to outstanding obligations.
15. Data Protection
ShopAurora processes personal data in accordance with the Data Protection Act, 2012 (Act 843) and applicable international data protection standards.
Vendors are required to:
- Process customer data only for legitimate transaction-related purposes
- Implement appropriate technical and organizational security measures
- Prevent unauthorized access, disclosure, or misuse of personal data
- Comply with all applicable data protection laws and regulatory requirements
Vendors shall be held responsible for any breach of data protection obligations arising from their actions or negligence.
16. Amendments
ShopAurora may update this agreement periodically.
Vendors will notify significant changes.
Continued use of the platform constitutes acceptance of updated terms.
17. Governing Law
This agreement shall be governed by the laws of Ghana.
